These Terms of Service ("Terms") govern your access to and use of HaloCall's AI phone receptionist service ("Service"). By using our Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service.

1. Description of Service

HaloCall provides an AI-powered phone receptionist service designed for service-based businesses. Our Service:

  • Answers inbound phone calls on behalf of your business
  • Provides information about your services, pricing, and policies
  • Schedules, reschedules, and cancels appointments
  • Sends SMS appointment confirmations, reminders, and booking updates
  • Integrates with third-party booking and scheduling platforms
  • Transfers calls to your team when appropriate
  • Records and transcribes calls for quality and service purposes
  • Sends SMS notifications to business customers about account activity

2. Account Registration

To use HaloCall, you must create an account and provide accurate, complete information about your business. You agree to:

  • Provide truthful and current information during registration
  • Maintain the security of your account credentials
  • Promptly update your account if information changes
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorized access

3. Business Information and Configuration

You are responsible for providing accurate information about your business, including:

  • Services offered and pricing
  • Business hours and availability
  • Booking policies (cancellation, deposits, etc.)
  • Staff and provider information
  • Any restrictions or requirements for services

HaloCall relies on the information you provide to assist your callers. We are not responsible for errors or issues arising from inaccurate or outdated business information.

4. Acceptable Use

You agree not to use HaloCall to:

  • Conduct any illegal or fraudulent activity
  • Misrepresent your business or services
  • Harass, abuse, or harm others
  • Transmit malware or interfere with our systems
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Resell or redistribute our Service without authorization

We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive behavior.

5. Third-Party Integrations

HaloCall integrates with third-party booking and scheduling platforms (such as Square Appointments, MindBody, Vagaro, Calendly, Google Calendar, and others). By connecting these services:

  • You authorize HaloCall to access and modify booking data on your behalf
  • You agree to comply with the terms of service of those platforms
  • You acknowledge that third-party service availability affects HaloCall's functionality
  • We are not responsible for changes, outages, or issues with third-party services

6. Call Recording and Compliance

HaloCall records phone calls to provide our Service and for quality assurance. You acknowledge and agree that:

  • Callers are notified at the beginning of calls that the call may be recorded
  • You are responsible for ensuring compliance with call recording laws in your jurisdiction
  • Some jurisdictions require all-party consent for call recording
  • You will inform us of any specific legal requirements applicable to your business

7. SMS/Text Messaging Terms

HaloCall may send SMS or text messages to business customers and their callers in connection with the Service, including appointment confirmations, scheduling reminders, booking updates, and service notifications ("SMS Program"). These messages are transactional in nature. HaloCall does not use SMS for marketing or promotional purposes.

Consent

During a call with a HaloCall AI receptionist, callers may be asked whether they would like to receive text messages related to their appointment or inquiry. By verbally confirming consent during the call, the caller agrees to receive SMS messages from HaloCall on behalf of the business they are contacting. Verbal consent is obtained in a clear, affirmative manner and is logged for compliance purposes.

Consent is entirely voluntary. Callers are under no obligation to agree, and declining to receive text messages will not affect the quality of service or the ability to complete a booking. Consent to receive SMS messages is not a condition of purchasing any goods or services. Consent may be revoked at any time by following the opt-out instructions below.

Initial Message

Upon opting in, you will receive an initial text message from HaloCall confirming your enrollment in the SMS program. This message will include opt-out instructions and a link to our Privacy Policy and Terms of Service.

Message Frequency

Message frequency varies based on your account activity and appointment volume. You may receive recurring messages related to bookings, reminders, confirmations, and service updates.

Message and Data Rates

Message and data rates may apply. If you have questions about your text or data plan, contact your wireless provider.

Opt-Out Instructions

You may revoke your consent and stop receiving SMS messages at any time. Text STOP to the number from which you received the message. After sending STOP, you will receive a one-time confirmation message and will no longer receive SMS messages from that number. If you wish to re-enroll, you may opt in again through the original method.

Carrier Disclaimer

Carriers (e.g., T-Mobile, AT&T, Verizon) are not liable for delayed or undelivered messages.

Privacy

For information on how we handle your data, please review our Privacy Policy. We do not sell, rent, or share your phone number, SMS opt-in data, or messaging consent with any third parties for marketing or advertising purposes.

SMS Notifications for Business Customers

As a HaloCall business customer, you may opt in during account registration to receive SMS notifications related to your HaloCall account. These notifications may include:

  • Real-time call and booking alerts
  • Daily and weekly activity summaries
  • Billing and invoice notifications
  • Integration status updates
  • Service announcements

Consent is obtained electronically during account registration via a clearly labeled consent checkbox. Consent is voluntary and is not a condition of purchasing any goods or services. You may opt out at any time by replying STOP to any notification or by updating your notification preferences in your HaloCall dashboard. For assistance, reply HELP or contact team@halocall.co. 8. Fees and Payment

You agree to pay the fees associated with your selected plan. Payment terms include:

  • Fees are billed monthly or annually as specified in your plan
  • Payment is due at the beginning of each billing period
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • Failure to pay may result in service suspension or termination

Usage-based fees (such as per-minute charges or overage fees) will be billed in arrears based on actual usage.

9. Service Availability

We strive to provide reliable, 24/7 service but do not guarantee uninterrupted availability. Our Service may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • System updates or improvements
  • Circumstances beyond our reasonable control
  • Third-party service outages

We will make commercially reasonable efforts to minimize downtime and communicate service disruptions promptly.

10. Intellectual Property

HaloCall and its licensors own all rights to the Service, including:

  • Software, algorithms, and AI models
  • Trademarks, logos, and branding
  • Documentation and training materials
  • Website content and design

You retain ownership of your business content and data. You grant HaloCall a limited license to use your content as necessary to provide the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • HaloCall is provided "as is" without warranties of any kind, express or implied
  • We do not guarantee that the Service will meet your specific requirements or expectations
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless HaloCall, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Inaccurate business information you provide
  • Disputes with your customers or callers

13. Termination

Either party may terminate this agreement:

  • At any time with 30 days' written notice
  • Immediately if the other party breaches these Terms

We may suspend or terminate your account immediately if:

  • You violate these Terms or applicable laws
  • Your payment is overdue
  • We determine your use poses a risk to our Service or other users

Upon termination, your access to the Service will end. You may request export of your data within 30 days of termination.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service will be resolved through:

  • Good faith negotiation between the parties
  • If negotiation fails, binding arbitration in accordance with the rules of the American Arbitration Association
  • Arbitration will take place in the state where HaloCall is headquartered

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HaloCall regarding the Service and supersede any prior agreements.
